a. Issuing additional shares:

- Volume to be issued: 9,995,344 shares.
+ 2,998,603 shares will be offered to foreign investors through private placement. The unsold shares will be put up to auction.
+ 6,996,741 shares will be offered to domestic investors through private placement. The unsold shares will be put up to auction.
b. Issuing convertible bonds:
- Name of bonds: Bonds of Asia Commercial Bank.
- Type of bonds: Convertible bonds.
- Face value: 1,000,000 dong.
- Price offered: 1,000,000 dong per bond.
- Volume to be issued: 1,350,000 bonds.
- Term of bonds: 5 years.
- Interest: 8 percent per year. Interest will be paid annually.
- The bonds will be offered to the existing shareholders.
Distribution ratio: 1,350,000 bonds / 263,005,996 shares = 0.5133. The shareholders owning 1,000 shares can buy 5,133 convertible bonds.

5. Purposes of the issue: For purchasing fixed assets; Contributing capital; Providing long-term loans; Supplementing the owner's equity if necessary.
